Mutual NONDISCLISURE AND CONFIDENTIALITY AGREEMENT
Between:
Atlas Cartographic Technologies LTD., an Israeli company with a principal place of business at 24 Ben-Gurion
Street, Ramat Gan, Israel.And:The Receiving Party.
"Confidential Information" shall hereinafter include all information in any and all medium that has been disclosed or will be disclosed by Atlas Cartographic Technologies LTD to the Receiving Party,Including, without limitation, software programs, documents, specifications, data and business plans, customer information, forecasts, projections and analyses and financial information.
"Disclosing Party" shall hereinafter include any of the Parties disclosing Confidential Information. "Receiving Party" shall hereinafter include any of the parties obtaining Confidential Information.
- The Receiving Party shall have a duty to protect the Confidential Information.
- The Receiving Party shall not disclose any Confidential Information to third parties or to its employees except with the prior written consent of the other party. The Receiving Party hereby accepts responsibility for the action of its employees, directors, officers, managers, advisors and anyone acting on its behalf and using the disclosed Confidential Information in any form or manner.
- The Receiving Party will not copy or use the Confidential Information except as provided herein and for the purpose of discussions and negotiations with the Disclosing Party, or for business cooperation, joint venture or other relationship or transaction with the Disclosing Party. The Receiving Party will not reverse engineer, disassemble or decompile any prototypes of tangible objects, which embody the Disclosing Party's Confidential Information.
- This Agreement shall be effective until terminated by thirty (30) days written notice of either party to the other. The parties' obligations with respect to any of each other's Confidential Information shall remain in effect for a period of two (2) years from the date of disclosure of such Confidential Information made hereunder.
- This agreement imposes no obligation on either party to purchase, sell, license, transfer or otherwise dispose of any technology, services or products.
- The relationship of the parties is that of independent companies. This Agreement does not create an agency, partnership or similar relationship between the parties. Neither party hereby acquires any rights to use in advertising, publicity, or other marketing activities any name, trade name, trademark or other designation of the other party. Neither party may disclose the existence or the substance of this Agreement to any party except as expressly provided herein or with the prior written consent of the other party.
- This Agreement is the complete and exclusive statement of the agreement between the parties, and supersedes all prior written and oral communications and agreements relating to the subject matter hereof. This Agreement may only be modified by a written agreement signed by persons duly authorized to sign agreements on behalf of the parties.
- This Agreement is made under, and shall be construed according to the substantive laws of the State of Israel.
